Role summary

The Subsidiary Chief Executive Officer is primarily responsible for achieving the revenue, profits, and growth objectives of the subsidiary, under the leadership of the CEO of the parent corporation. In addition, responsible for creating the overall vision, mission, strategy, and corporate culture for the subsidiary to maximize shareholder value. Ensures that the subsidiary is compliant with all government regulations, both domestic and international, such as the SEC, IRS, and other critical agency requirements, as well as adherence to the parent company’s corporate policies. The Subsidiary CEO builds and leads the senior management team and reports to the parent company’s CEO, Board of Directors, and shareholders, where appropriate. The Subsidiary CEO leads the evaluation of growth options for the subsidiary to include the optimal mix of organic growth in combination with mergers and acquisitions, and the appropriate source of funding for operations. Additional responsibilities include assessing risks to the subsidiary and ensuring they are being managed; acting as a liaison between the parent company and its board of directors; representing the public face of the subsidiary to analysts, shareholders, the media, and other stakeholders of the company, ensuring effective controls and management information systems are in place; and ensuring that the division maintains high standards of corporate citizenship. The Subsidiary CEO must have outstanding leadership, analytical, and communications, and organizational skills that facilitate a high-performance culture within the division. This is a single incumbent position.
