Role summary

This combined position of Chairperson & Chief Executive Officer is primarily responsible for achieving the revenue, profits, and growth objectives of the organization and for the leadership of the Board and its related activities and ensuring compliance with the highest principles of corporate governance. In addition, is responsible for creating the overall vision, mission, strategy, and corporate culture for the company to maximize shareholder value. Ensures that the company is compliant with all government regulations, both domestic and international, such as the SEC, IRS, and other critical agency requirements. The Chairperson & CEO builds and leads the senior management team and chairs the company’s Board of Directors and its liaison with shareholders. The Chairperson & CEO leads the evaluation of growth options to include the optimal mix of organic growth in combination with mergers and acquisitions. In its role as Chairperson, plans and chairs board meetings, setting the board’s agenda and schedule, and facilitating discussions and critical analysis of Management’s plans and proposals to drive the Board to consensus. As Chairperson, oversees recruitment of experienced board members when vacancies arise and coordinates the activities of Board sub-committees, such as the Audit and Executive Compensation Committee. Presides over the Annual General Shareholder Meeting including recommendations regarding shareholder resolutions and other important agenda items. Additional CEO responsibilities include assessing risks to the company and ensuring they are being managed and representing the public face of the company to analysts, shareholders, the media, and other stakeholders of the company, ensuring effective controls and management information systems are in place; and ensuring that the company maintains high standards of corporate citizenship. The Chairperson & CEO must have outstanding leadership, analytical, and communications, and organizational skills that facilitate a high-performance culture within the company.
